ACCEPTABLE USES POLICY
By using our services, you agree to comply with our policies. Telcopoint supports the use of the Internet with respect, courtesy, and responsibility, giving due regard to the rights of other Internet users. When customers place information on the Internet, they have the same liability as other authors for copyright infringement, defamation and other harmful speech. Also, because the information they create is carried over our facilities and may reach a large number of people, a user's postings to the Internet may harm our goodwill, business reputation and operations. For these reasons, customers violate our policy when they, their affiliates or subsidiaries engage in the prohibited activity described herein. We expect you to have a basic knowledge of how the Internet functions, the types of uses, which are generally acceptable, and the types of uses, which are to be avoided. Common sense is the best guide as to what is considered acceptable use. The following are examples of unacceptable uses: illegality in any form, but not limited to activities such as unauthorized distribution or copying of copyrighted software or other copyrighted work, violation of U.S. export restrictions, harassment, fraud, drug dealing, and other illegal activities.

Interpretation
The provisions of this policy are intended as guidelines and are not meant to be exclusive. Generally, conduct that violates applicable laws, regulations, or the accepted norms of the Internet community, whether or not expressly mentioned in this policy, is expressly prohibited. Telcopoint Inc. reserves the right at all times to prohibit activities that damage its commercial reputation and goodwill.

Illegal Use
Telcopoint Inc. services may be used only for lawful purposes. Transmission, distribution or storage of any material in violation any applicable law or regulation is prohibited. This includes, without limitation, material protected by copyright, trademark, trade or other intellectual property right used without proper authorization, and material that is obscene, indecent, and defamatory, constitutes an illegal threat, or violates export control laws. Telcopoint Inc. will be the sole arbiter as to what constitutes a violation of our policies.

System and Network Security
Violations of system or network security are expressly prohibited, and may result in criminal and/or civil liability. Examples include, but are not limited to the following: (a) unauthorized access (often known as hacking), use, probe, or scan of a systems security or authentication measures, data or traffic; (b) interference with service to any user, host or network including, without limitation, mail bombing, flooding, deliberate attempts to overload a system and broadcast attacks; (c) forging of any TCP-IP packet header or any part of the header information in an email or a newsgroup posting; and (d) other destructive activities.

Spamming
Sending unsolicited mail messages, including, without limitation, commercial advertising and informational announcements, is explicitly prohibited. A user shall not use another site's mail server to relay mail without the express permission of the site. Spamming is harmful because it can negatively impact consumer's attitudes toward us, and can overload our equipment as well as disrupt service to subscribers. It is contrary to Telcopoint Inc. policy for customers to use our services or network to effect or participate in any of the following activities: To post to any Usenet or other newsgroup, forum, e-mail mailing list or other similar group or list articles which are off-topic according to the charter or other owner-published FAQ or description of the group or list; To send unsolicited mass e-mailings; to engage in any of the foregoing activities using the service of another provider, but channeling such activities through a Telcopoint Inc. provided server, or using a Telcopoint Inc. provided server as a maildrop for responses; To falsify user information provided to Telcopoint Inc. or to other users of the service in connection with use of a Telcopoint Inc. service; or Attempting without authorization to enter into a secured computer system.

Consequences of Violation
When Telcopoint Inc. becomes aware of an alleged violation of its Acceptable Use Policy, Telcopoint Inc. will initiate an investigation. During its investigations, Telcopoint Inc. may restrict a customer's access in order to prevent further possible unauthorized activity. Depending on the severity of the violation, Telcopoint Inc. may, at its sole discretion: (a) restrict, suspend, or terminate a customer's account, (b) remove information that violates our policies, (c) implement screening software to block transmissions, (d) pursue any other civil remedies, and/or (e) take any other action we deem appropriate. Failure to cooperate with our corrective or preventive measures is a violation of our policy. If such violation is a criminal offense, Telcopoint Inc. will notify the appropriate law enforcement department of such violation. Telcopoint Inc. does not issue service credits for any outages incurred through service disablement resulting from policy violations.

Privacy
Telcopoint cannot take any responsibility for the security of communications transmitted over our facilities. We will comply fully, however, with all applicable laws concerning the privacy of our clients' on-line communications. In particular, we will not intentionally monitor or disclose any private electronic mail messages sent or received by our clients unless required to do so by law. We may, however, monitor our service electronically to determine that our facilities are operating satisfactorily. Also, we may be required to disclose information transmitted through our facilities in order to comply with court orders, statutes, regulations or governmental requests. Finally, we may disclose information transmitted over our facilities where necessary to protect Telcopoint and our clients from harm, or where such disclosure is necessary to the proper operation of the system.

Indemnity
Telcopoint emphasizes that by accepting our services, clients indemnify us for any violation of the client and/or user of this policy, or of law, that results in loss to us or the bringing of any claim against us. This means that if we are sued because of activities of the user that violate any law, or this policy, the user will pay any damages awarded against us, plus costs and reasonable attorneys' fees. You further agree that Telcopoint Inc. and any other parties involved in creating, delivering and hosting web sites by or on behalf of Telcopoint Inc. have no liability for direct, indirect, incidental, punitive, or consequential damages with respect to the information, services, content, or advertisements contained on or otherwise accessed through this web site. This service (excluding linked sites) is controlled by Telcopoint Inc. from its offices within the State of Texas, United States of America. It can be accessed from all 50 states, as well as from other countries around the world. As each of these places have laws that may differ from those of Texas, by accessing this web site both you and Telcopoint Inc. agree that the statutes and laws of the State of Texas, without regard to the conflicts of laws principles thereof, will apply to all matters relating to use of this service. You and Telcopoint Inc. also agree and hereby submit to the exclusive personal jurisdiction and venue of the applicable courts of Dallas County, Texas and the United States District Court for the Northern District of Texas with respect to such matters. Telcopoint Inc. makes no representation that materials on this web site are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Permitted Use of Telcopoint Inc. Trademarks
Telcopoint Inc. trademarks identify Telcopoint Inc. products and services, and let the public know the source of those products and services. You may make fair use of our trademarks in advertising and promotional materials, and in referring to our products and services (for example, in a magazine article without our permission), provided you follow standard trademark usage practices and provide proper attribution. Other uses require prior written permission from Telcopoint Inc. Please make such requests by email. We will evaluate your request as soon as possible. In addition, you may not use Telcopoint Inc. trademarks, whether design or word marks, in the following ways: In a non-Telcopoint Inc. product name or publication title; In, as, or as part of your own trademarks; To identify products or services that are not Telcopoint Inc.'s; In a manner likely to cause confusion; In a manner that implies inaccurately that we sponsor, endorse, or are otherwise connected with your own activities, products and services; or In a manner that disparages Telcopoint.

Telcopoint, our software partner HearMe, and this web site are working in cooperation to make this a great place to meet and interact with others around the world. In exchange we need you to agree to abide by our Code of Conduct. Your commitment to this Code of Conduct in all Telcopoint powered chat areas, news groups, forums, communities, personal web pages, calendars, electronic mail postings and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), ensures a positive experience for all our users. Specific communities, chats, and discussion groups may also have additional Guidelines which govern your use, so be sure to review them in addition to this Code of Conduct. Telcopoint is not responsible for the content or activities in any user-created, non-Telcopoint managed Communication Service. The Communication Services' Web sites are general purpose sites and are designed for use by individuals in accordance with the age and membership policies of that site. Respect Others

Telcopoint reserves the right to remove communities and chats that advocate or encourage expressions of violence, bigotry, racism, hatred, or profanity. Telcopoint encourages our users to create their own chats and communities. Hosts or Telcopoint may remove postings that are deemed inappropriate, offensive or that violate guidelines or this Code of Conduct. Hosts or Telcopoint may also eject or ban any user from their area who behaves in a manner deemed inappropriate, offensive or who violates guidelines or this Code of Conduct. By participating in a user-created area, you agree to be bound to the rules of that area.

Keep it Legal
Telcopoint does not allow any illegal activities. You cannot use the Communication Services to publish, post, distribute, or disseminate defamatory, infringing, obscene, or other unlawful material or information. You may not use any of the Communications Services for the purpose of linking to external sites that violate this Code of Conduct. Do not upload files or post messages that contain photos, software or other material protected by intellectual property laws, rights of privacy or publicity or any other applicable law unless you own or control the rights thereto or have received all necessary consents. Telcopoint is not responsible for any use of anything you say or post. Do not post any materials (including software and other information) that could harm (or is designed to harm) other users' computers or would allow others to inappropriately access software or Web sites.

Play Nice
Telcopoint does not tolerate disruptive activity online, such as persistent off-topic comments and postings or statements that incite others to violate this Code of Conduct or participate in illegal activities. Our participants want to chat and post on the Communication Services in a positive environment. Telcopoint does not allow posting or use of computer programs that contain destructive features such as: viruses, worms, Trojan horses, or bots for the use of scrolling, showing multiple screens, and other activities that can be disruptive to online communication. Falsely impersonating a Telcopoint employee, agent, manager, host, or any other person with the intent to mislead or cause harm to others is forbidden.

Don't Spam
Please do not "spam" through the Communication Services; none of our users like it. To spam includes sending identical and irrelevant submissions to many different discussion groups, mailing lists or communities. Usually such postings have nothing to do with the particular topic of the group or are of no real interest to those on the mailing list. To spam also includes misrepresenting the source of anything you say or post. Spamming is a serious violation of online etiquette. Telcopoint reserves the right to ban a user at any time, without notice, from any or all Communication Services for spamming.

Take it Personally
The Communication Services areas are not designed to be used as the primary mechanism for operating your business or providing core information about your business. Any use of the Communication Services for commercial purposes is solely at your own risk and Telcopoint has no liability for such use. Any space provided to you in any Communication Service is for your own personal use. You may not sell, license, exchange or barter any space provided to you within any Communication Service for any purpose including, without limitation, selling, licensing, exchanging or bartering space for advertisements.

Take Responsibility
You are responsible and liable for all your activities while participating in the Communication Services. Remember, you are responsible for anything you say or post. Telcopoint takes no responsibility for the ratings, content, or any activities resulting from the content or otherwise, in these areas. The hosts of these areas are required to agree to and uphold this Code of Conduct before creating their Communication Service. Telcopoint is not responsible for loss of access to, or deletion or alteration of any materials included in any Communication Service you are responsible for creating backups of materials. Telcopoint reserves the right to remove at any time, without notice, any user-created Communication Service (or any particular posting) that violates this Code of Conduct. Some Communication Services may post Internet website links in their area. Please be advised that Telcopoint is not responsible for the content on the websites associated with the links you may view. Some content and links on the Internet may contain adult content and may not be suitable for children. We encourage parents to join their children as they surf and explore the Internet. You are responsible for any actions you may take based on advice or information you receive online. Use your own good judgment when evaluating information provided through any Communication Service, remember that the information provided could be from people at any age and experience level. The decision to conduct transactions with anyone is your own and you should conduct your own research prior to making any decisions.

Uphold the Code
In helping to make the Communication Services a great place to meet and chat, you must do your part to uphold this Code of Conduct. Telcopoint reserves the right to immediately terminate or suspend access to any Communication Service for violations of our Code of Conduct. Telcopoint also reserves our right to amend or change the Code of Conduct at any time without notice. You agree to periodically review this document to ensure you are doing your part. Telcopoint is not obligated to send users or hosts a warning before deleting any content.

Protect your Privacy
We caution you against giving out personally identifiable information (such as social security numbers, credit card numbers, names and addresses, driver license numbers) to strangers online, which may be used for illegal or harmful purposes. Some personal information you provide to Telcopoint may be stored outside of the country in which you reside.

Protect Software Copywrites

END-USER LICENSE AGREEMENT

IMPORTANT READ CAREFULLY:
This HearMe ("HearMe") End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and HearMe for the HearMe software programs offered by HearMe and related Documentation, which includes computer software and associated media and printed materials (if any), and may include online or electronic documentation (referred to herein as HearMe Software). By installing, copying, or otherwise using the HearMe Software, you agree to be bound by the terms of this. If you do not agree to the terms of this Agreement, you are not authorized to use the HearMe Software. Use of the HearMe Software is governed by this End-User License Agreement. Information necessary to achieve the interoperability of the HearMe Software with other programs may be obtained from HearMe, in some circumstances, upon request.

Grant of License:
HearMe grants to you the right to use copies of the HearMe Software only in conjunction with the evaluation and non-commercial use of the HearMe VoiceSERVER or licensed version of the HearMe VoiceSERVER (Licensed Purpose).

Intellectual Property Rights:
HearMe shall retain all right, title and interest, including all intellectual property rights, in and to the HearMe Software. You acknowledge that international copyright laws and international treaty provisions protect the HearMe Software and agree not to remove any copyright or other proprietary or product identification notices contained thereon. You acknowledge and agree that the HearMe Software may have been developed by and may include software licensed by third party licensors named in the copyright notice(s) included with the HearMe Software, who shall be authorized to hold you responsible for any copyright infringement or violation of this Agreement. You may not (i) remove, destroy, alter, obscure or modify any intellectual property notices included in the HearMe Software; (ii) use, copy, sublicense, rent, sell, assign or transfer the license granted pursuant to this Agreement, or the HearMe Software, except as expressly provided in this EULA, (iv) sublicense, rent or lease the HearMe Software, or (v) reverse engineer, reverse compile, modify, reduce to human perceivable form, or disassemble the HearMe Software.

Export Law:
This EULA is expressly subject to any laws, regulations, orders or other restrictions on the export from the United States of America of the HearMe Software or of information about the HearMe Software, which may be imposed from time-to-time by the government of the United States of America. Notwithstanding anything contained in this Agreement to the contrary, you may not export or re-export, directly or indirectly, any HearMe Software or information pertaining thereto to any country an export license or other governmental approval is required at the time of export or re-export with first obtaining such license or approval.

Disclaimer of Warranties:
THIS HEARME SOFTWARE AND DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. HEARME AND ITS LICENSORS DISCLAIM ALL WARRANTIES OR CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND THOSE ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE, WITH RESPECT TO THE HEARME SOFTWARE. IN PARTICULAR, LICENSEE OR ITS LICENSORS DO NOT WARRANT THAT USE OF THE HEARME SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability:

Termination:
Your rights under this EULA terminate upon the completion of the Licensed Purpose, or without prejudice to any other rights, HearMe may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you return all copies of the HearMe Software immediately to HearMe or you must destroy all copies of the HearMe Software and send proof of such destruction.

Miscellaneous:
This EULA is controlled and governed under the laws of the State of California and any and all litigation shall be brought in the Northern district of California.
